End-User License Agreement

Please read this End User License Agreement ("EULA") before You purchase a License Key for Keysmith, or before you download and use Keysmith.

By purchasing a License Key and/or downloading and using Keysmith, You agree, without reservation, to be bound by the terms of this EULA. If You do not agree with the terms of this EULA, please do not purchase a License Key and/or download and use Keysmith.

This EULA is a legal agreement between you (either an individual or a single entity) and Otto Labs, LLC and it governs your use of Keysmith made available to you by Otto Labs, LLC.

License

Otto Labs, LLC grants You a non-exclusive, non-transferable, limited, revocable license to Use Keysmith in accordance with this EULA. Otto Labs, LLC reserves all rights not expressly granted to You.

Restrictions

You agree not to, and will not permit others to:

• license, sell, rent, least, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit Keysmith or make Keysmith available to any third party.
• modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of Keysmith.
• remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of Otto Labs, LLC or its affiliates, partners, suppliers, or the licensors of Keysmith.

Maintenance and Support

Otto Labs, LLC reserves the right to modify, suspend, or discontinue, temporarily or permanently, Keysmith or any service to which it connects, with or without notice and without liability to you.

Liability limitation

The liability of Otto Labs, LLC and any third party that has been involved in the creation, production, or delivery of Keysmith for all damages arising out of or in any way relating to Keysmith and/or this EULA shall be limited to the amount actually paid by You for Keysmith.

Otto Labs, LLC and any third party that has been involved in the creation, production, or delivery of Keysmith are under no circumstances liable for consequential or indirect damages (including damage for loss of profit, business interruption, loss of data, and the like arising out of the use or inability to use Keysmith).

Termination

This EULA shall remain in effect until terminated by You or Otto Labs, LLC.

Otto Labs, LLC may, in its sole discretion, at any time and for any or no reason, suspend or terminate this EULA with or without prior notice.

This EULA will terminate immediately, without prior notice from Otto Labs, LLC, in the event that you fail to comply with any provision of this EULA. You may also terminate this EULA by deleting Keysmith and all copies thereof from your computer.

Upon termination of this EULA, you shall cease all use of Keysmith and delete all copies of Keysmith from your computer.

Modifications to this agreement

Otto Labs, LLC reserves the right, at its sole discretion, to modify or replace this EULA at any time. If a revision is material we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use Keysmith after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use Keysmith.
